Non-binding indicative proposal to acquire rhipe

APAC’s leading cloud and technology solutions provider, rhipe (ASX: RHP), has announced that it has received an indicative, non-binding takeover offer from global IT consultancy, CrayonCrayon is one of the largest global vendor-agnostic IT consultancies, delivering software asset management, cloud/volume licensing and consulting services. Headquartered in Oslo, Norway, its services focus on cloud adoption, governance and lifecycle management framework, data and AI adoption, spanning all stages of the digital transformation, cloud-first journey.  

The proposal stated that any final, binding offer would be subject to a number of conditions, including (among others) the satisfactory completion of confirmatory due diligence and negotiation of a Scheme Implementation Deed, unanimous and continuing recommendation of the rhipe Board, no material adverse change occurs in relation to rhipe and other customary conditions, including rhipe shareholder approval, FIRB approval and other requisite regulatory approvals.
 

At this stage the proposal is only indicative and non-binding. There is no certainty that, Crayon will submit a binding proposal. However, rhipe and Crayon are continuing to work together collaboratively to facilitate a satisfactory outcome.
